Subject: Letter of Intent to Purchase Copper Wire Scrap

Dear Mr. Smith,

This Letter of Intent (“LOI”) confirms the preliminary understanding between [Your Company Name] (“Buyer”) and Cuprumex Ltd. (“Seller”) regarding the purchase of copper wire scrap under the following terms:

1. Product Description

Buyer intends to purchase Copper Wire Scrap (Grade Millberry), free from impurities, in accordance with internationally recognized specifications.

2. Quantity

The anticipated purchase volume is 12,000 metric tons +/- 5%, subject to mutual agreement. Mothly shipment: 1000 MT +/- 5%

3. Price & Payment Terms

The purchase price shall be based on the London Metal Exchange (LME) copper reference price with a discount as negotiated. Payment will be made via Irrevocable and transferable Letter of Credit (DLC), bank transfer under terms to be finalized in the definitive agreement.

4. Delivery Terms

Delivery shall be made under Incoterms: CIF Port of ________. The shipment schedule will be mutually agreed upon, with expected delivery commencing 30 days after the Seller's bank receives DLC.

5. Documentation

Seller shall provide all necessary documentation, including Certificate of Origin, Quality Certificate, Packing List, Bill of Lading, and Commercial Invoice.

6. Validity & Next Steps

This LOI is non-binding and serves as the basis for good-faith negotiations. A formal Sales and Purchase Agreement (SPA) will be drafted upon completion of due diligence and mutual agreement on final terms.
